- Representing investors in the process of acquiring controlling interests in state-owned enterprises during privatisation;
- Advising the Client on the acquisition of stocks in Brest Beer OJSC, including drafting and negotiating an Edict of President on the sale of stocks, drafting and negotiating an investment agreement and SPA, negotiating the settlement agreements with creditors, terminating bankruptcy proceedings, and building a corporate governance structure for the joint-stock company (the amount of investments under the transaction exceeded EUR 18 million);
- Supporting an investment project of Swiss investors for the purchase of an agricultural enterprise and establishment of the manufacture of dairy products in Belarus;
- Representing major Belarusian companies producing children's toys in drafting and negotiating investment agreements with state authorities aimed at expanding production;
- Supporting an M&A transaction on the Buyer's side for the purchase of a plant of a European group of companies. The deal included assistance in concluding a SPA, an intellectual property transfer agreement, an equipment supply agreement, and negotiating with the Seller. Transaction value - more than 10 million euro;
- Represented a major Polish construction company in the execution of construction projects in Belarus with a total value of over EUR 200 million. The projects are financed with loan funds from the Polish bank BGK;
- Legal support of a major retailer entering the Belarusian market, including support of registration of legal entities in the Republic of Belarus, establishment of a corporate structure, support of operational activity of established Belarusian companies, and legal support of conclusion of lease agreements for offices and shop premises (total area over 8000 m2);
- Advising a client (a large IT company) on cooperation with an investor, including the development of a plan for the investor's entry into a joint business, drafting a shareholders' agreement, advising on taxation issues taking into consideration the legislation of Belarus, Russia, and the USA, supporting LDD of Belarusian entities and affiliated foreign entities;
- Supporting the Client (a global holding of manufacturers and suppliers of petrochemical products) in the process of resolving a corporate dispute within a company residing in Belarus, including the development of a strategy for resolving a corporate dispute, establishing the Client's control over the company, advising on the issue of top management replacement;
- Advising a foreign company, the owner of the operator of the payment system, on the procedure for carrying out banking transactions, including those related to bank transfers using payment cards, the procedure for handing out cash from payment cards by trade and service organisations, transactions with electronic money, cryptocurrency, including related requirements for anti-money laundering, anti-proliferation of weapons of mass destruction, and other related matters;
- Advising one of the leading food distributors in the Republic of Belarus on restructuring of accounts payable (six banks, including a foreign bank) to prevent initiation of economic insolvency (bankruptcy) proceedings.
Scientific activity and law-making:
More than 50 publications in foreign and national publications on corporate law, M&A, legal regulation of public-private partnerships, and foreign investments in Belarus.
Has specialized experience in the development of legislative acts in the sphere of PPP and investment activity, including regulations of free economic zones.
